Terms of Service

⚠️ Draft — pending legal review. These Terms are based on standard marketplace + payments-platform templates and reference relevant Ghanaian law where known. They must be reviewed by a qualified lawyer in your jurisdiction before you publish them as binding terms on a live service. Defaults in this template are conservative; you may wish to relax some of them after legal advice.
1. Who we are
These Terms govern your use of the Adwuma platform ("Adwuma", "the platform", "we", "us") operated by [LEGAL ENTITY NAME] of [REGISTERED ADDRESS], Ghana (Registrar General's Department No. [RGD NUMBER]).
By creating an account or using the platform you ("you", "your", "user") agree to these Terms. If you do not agree, do not use the platform.

2. What Adwuma is
Adwuma is a digital platform that offers small businesses in Ghana (and, where indicated, the wider West African region) the following services:
- A marketplace for listing and buying goods and services
- Business operations tools (bookkeeping, invoicing, inventory)
- An AI business coach offering general guidance, not personalised
professional advice
- A credit application channel through which lender partners may extend
loans on their own terms
- Payment processing through licensed third-party providers
- Settlement to mobile money accounts on behalf of sellers
Adwuma is not a bank, a deposit-taking institution, a licensed lender, an insurer, or a payment service provider in its own right. We act as technology infrastructure connecting users to licensed partners.
3. Eligibility and accounts
To use the platform you must:
- Be at least 18 years old
- Be legally capable of entering a binding contract under the laws of
Ghana (or your country of residence if outside Ghana)
- Provide accurate, current information during sign-up and keep it
updated
- Verify your phone number by SMS One-Time Password
- Complete identity verification (Ghana Card + selfie liveness) before
receiving payouts, escrow, or credit
You are responsible for all activity on your account. Keep your password secure and notify us immediately at security@adwumagh.com if you suspect unauthorised access.
We may suspend or terminate accounts that breach these Terms, are inactive for more than 24 months, or that we reasonably believe are operated for fraud, money laundering, or other unlawful purposes.
4. Marketplace rules (sellers)
By posting a listing you represent and warrant that:
- You have the legal right to sell the listed item or service
- The listing is accurate, complete, and not misleading in any material
respect
- The price, unit, perishability, and quality grade are stated truthfully
- The item or service is lawful to sell in Ghana and complies with
applicable health, safety, packaging, and food-safety regulations (including the Food and Drugs Authority where applicable)
- You will fulfil orders promptly and in accordance with the description
- You will respond to buyer questions and disputes in good faith
Prohibited categories include but are not limited to: firearms and ammunition, controlled substances, counterfeit goods, stolen goods, human remains, live animals (except where Adwuma offers a licensed livestock category and you have the relevant veterinary certification), endangered species, pornographic material, content infringing intellectual property, and any goods or services that are illegal in Ghana.
We moderate listings before publishing them and may reject, suspend, or remove any listing at our discretion. We are not a publisher of listings; we are a hosting service.
5. Marketplace rules (buyers)
You agree:
- To pay for orders you place
- To collect or accept delivery of items within the agreed window
- To inspect goods before final acceptance where reasonably possible
- To dispute issues through the platform within seven (7) days of
delivery and not by directly threatening sellers
- That product reviews you post are your honest opinion and not bought,
coerced, or fabricated
6. Fees
Adwuma's fees are published in-app and may change with 30 days notice. At the date these Terms take effect:
- Marketplace platform fee: 2.5% of the gross order value, deducted from
the seller payout
- Subscription tier prices are listed on the
/subscriptionpage - Promoted listings are sold à la carte at the prices listed on the
promote page
- Payment processing fees are passed through from our payment partners
(currently Hubtel and Paystack); we do not mark these up
For sellers: payouts settle to your verified MoMo account on the published schedule, net of fees and any chargebacks, refunds, or disputed amounts.
7. Payments and refunds
Payments are processed by licensed Ghanaian payment service providers. By making a payment you also agree to the relevant provider's terms.
Refunds:
- A buyer is entitled to a refund where the item was not delivered, not as
described in material respects, or damaged on arrival
- Refund disputes should be raised through the in-app dispute flow
- Once a refund is approved by Adwuma, the funds are reversed to the buyer's
original payment method within five (5) business days
- A successful refund reverses the seller's accrued earnings for that
order through our payouts ledger (an "ACCRUAL" is offset by a "CLAWBACK" entry against the seller's next payout)
8. Credit applications
When you apply for credit through the platform you authorise Adwuma to:
- Compile your sales history, ledger entries, repayment history, and
identity verification data into a credit profile
- Share this profile with the partner lender(s) you select
- Calculate a credit score that lenders may use as part of their own
decisioning
The lender, not Adwuma, decides whether to extend credit and on what terms. Repayment is governed by the loan agreement between you and the lender. Adwuma may earn an origination fee from the lender and may collect repayments on the lender's behalf.
9. AI business coach
The AI coach offers general guidance only. It is not a substitute for advice from a qualified accountant, lawyer, financial adviser, doctor, or other licensed professional. Responses may be inaccurate or out of date. Always verify important figures and decisions independently.
We log the content of your interactions to improve the service and meet legal record-keeping obligations. We do not sell these logs to third parties.
10. Your content
You retain ownership of content you post (listings, photos, business info, storefront copy). You grant Adwuma a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, adapt, and display this content for the purpose of operating, marketing, and improving the platform.
You represent that you have the right to grant this licence and that your content does not infringe any third party's rights.
We may remove content that breaches these Terms, applicable law, or our content policies, with or without notice.
11. Acceptable use
You agree not to:
- Use the platform for any illegal purpose
- Misrepresent your identity or affiliation
- Manipulate prices or reviews
- Attempt to access another user's account
- Interfere with the platform's security, performance, or integrity
- Scrape, harvest, or otherwise extract data in bulk
- Use the platform to send unsolicited communications
- Probe for vulnerabilities without our written permission
12. Privacy and data
Your privacy is governed by our Privacy Policy. We process personal data in accordance with Ghana's Data Protection Act, 2012 (Act 843) and, where applicable, the EU General Data Protection Regulation (GDPR).
13. Disputes and resolution
We encourage you to resolve buyer–seller disputes through our in-app dispute flow. Where an in-app resolution fails:
- Disputes are governed by the laws of the Republic of Ghana
- The courts of Accra have exclusive jurisdiction
- Either party may, before commencing court proceedings, request **mediation
through the Alternative Dispute Resolution Centre of Ghana**
14. Limitation of liability
To the maximum extent permitted by law:
- Adwuma is provided "as is" and "as available", without warranties
of any kind beyond those that cannot be lawfully excluded
- We are **not liable for indirect, incidental, consequential, or
exemplary damages**
- Our aggregate liability to you in any twelve-month period is limited
to the greater of GHS 5,000 or the fees you paid Adwuma in that period
- Nothing in these Terms excludes liability that **cannot be excluded
under Ghanaian law**, including liability for death, personal injury, or fraud caused by our negligence
15. Indemnity
You agree to indemnify and hold Adwuma harmless from any claim, loss, or expense arising from your breach of these Terms, your content, or your violation of any law or third-party right.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified in-app and by email at least 30 days before they take effect. Continued use of the platform after the effective date of an updated version constitutes acceptance.
17. Termination
You may close your account at any time from the More tab. Some data is retained after closure for legal, audit, or fraud-prevention reasons (see Privacy Policy section on retention).
We may terminate or restrict your account if you breach these Terms, operate fraudulently, or place the platform at material risk.
18. Entire agreement and severability
These Terms, together with the Privacy Policy and any service-specific policies referenced, constitute the entire agreement between you and Adwuma in respect of the platform. If any provision is found unenforceable, the remainder remains in full force.
